Specific service scope, deliverables, timelines, and fees for any engagement are governed by a separate Master Services Agreement (MSA) and/or Statement of Work (SOW) signed between Expanse Digital and the client.

In case of conflict between these Terms and a signed MSA/SOW, the MSA/SOW shall prevail.

4. Website Use

You agree to use this website only for lawful purposes. You may not:

• Attempt unauthorized access to our systems
• Use the site to distribute malware or harmful content
• Scrape, copy, or reproduce site content without permission
• Misrepresent your identity or affiliation

5. Intellectual Property

6. Client Deliverables and Ownership

Unless otherwise specified in a signed agreement:

• Final deliverables (creative assets, ad copy, designs) become client property upon full payment
• Expanse Digital retains the right to showcase completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing

7. Payments

• Fees, payment schedules, and terms are outlined in individual proposals, MSAs, or invoices
• Late payments may result in suspension of services
• All fees are exclusive of applicable taxes (e.g., GST) unless stated otherwise

8. Advertising Spend Disclaimer

Where Expanse Digital manages advertising budgets on behalf of clients (Meta, Google, or other platforms), results are subject to platform algorithms, market conditions, and external factors beyond our control. We do not guarantee specific ROAS, conversion rates, or revenue outcomes.

9. Confidentiality

Both parties agree to keep confidential information (business data, strategies, financials, creative assets shared during the engagement) private and not disclose it to third parties, except as required by law or with mutual written consent.

10. Limitation of Liability

To the extent permitted by law, Expanse Digital shall not be liable for indirect, incidental, or consequential damages arising from the use of our website or services, including loss of profits, data, or business opportunities.

11. Termination

Either party may terminate an ongoing engagement as per the terms outlined in the applicable MSA/SOW. Website access may be restricted or terminated by us at our discretion for violation of these Terms.

12. Third-Party Tools and Platforms

Our services may involve integration with third-party platforms (Meta, Google, Shopify, etc.). We are not responsible for outages, policy changes, or performance issues originating from these platforms.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

14. Changes to Terms

We reserve the right to update these Terms and Conditions at any time. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
